Terms of Service

1. Acceptance of Terms

By accessing or using Diveri ("Service"), operated by Twolf ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. Your continued use of the Service constitutes acceptance of any modifications to these Terms.

2. Description of Service

Diveri is a social networking platform designed to connect diverse communities through features including but not limited to:

  • Community Circles for group interactions
  • Private messaging between users
  • User matching based on interests and preferences
  • Content sharing and discussion forums

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Maintain the security of your account credentials
  • Accept full responsibility for all activities under your account
  • Immediately notify us of any unauthorized use of your account

Currently, we use One-Time Password (OTP) authentication. We may implement OAuth or other authentication methods in the future, and you agree to comply with any updated authentication requirements.

3.2 Age Requirements

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. User Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any laws or regulations, including Dutch and EU laws
  • Bullying, harassing, threatening, or intimidating other users
  • Posting harmful, abusive, defamatory, or discriminatory content
  • Sharing false, misleading, or deceptive information
  • Impersonating others or misrepresenting your identity
  • Creating or using bot accounts or automated systems
  • Spamming, phishing, or sending unsolicited messages
  • Attempting to access unauthorized areas of the Service
  • Circumventing any security measures or access controls
  • Interfering with or disrupting the Service or servers
  • Reverse engineering or attempting to extract source code
  • Using the Service for any illegal or unauthorized purpose

Violation of these rules may result in immediate suspension or termination of your account without notice or refund, at our sole discretion.

5. Content Guidelines

5.1 Your Content

You retain ownership of content you post on Diveri. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute your content in connection with the Service.

5.2 Prohibited Content

The following types of content are strictly prohibited:

  • Illegal content or content that promotes illegal activities
  • Hate speech or discriminatory content
  • Sexually explicit or pornographic material
  • Violence or graphic content
  • Content that infringes on intellectual property rights

6. Community Guidelines

Diveri is committed to maintaining a safe and respectful environment. All users must adhere to our Community Guidelines, which include:

  • Treating all members with respect and dignity
  • Embracing diversity and inclusive communication
  • Respecting others' privacy and boundaries
  • Reporting violations and harmful behavior

7. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

8. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Diveri and its licensors.

9. Termination and Account Actions

9.1 Our Rights

We reserve the absolute right to, at any time and without prior notice:

  • Suspend, disable, or terminate your account
  • Block your access to the Service
  • Remove or modify your content
  • Ban you permanently from the Service

These actions may be taken for any reason or no reason, including but not limited to violation of these Terms, at our sole and absolute discretion.

9.2 No Appeal Rights

All decisions regarding account suspension, termination, or banning are final and not subject to appeal. You explicitly waive any right to contest, appeal, or challenge these decisions through any means.

9.3 Premium Accounts

Paid or premium accounts are subject to the same termination policies. Termination for Terms violations will not entitle you to any refund, and you explicitly waive any right to refunds or compensation.

9.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data without any obligation to retain or provide access to such data.

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TWOLF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TWOLF, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • Your use or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • Statements or conduct of any third party on the Service
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service
  • Any errors or omissions in any content
  • Any other matter relating to the Service

10.3 Liability Cap

IN ANY CASE, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST TWELVE (12) MONTHS, OR FIFTY EUROS (€50), WHICHEVER IS LESS.

10.4 User Acknowledgment

YOU ACKNOWLEDGE THAT TWOLF SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM YOUR INTERACTIONS WITH OTHER USERS, AND YOU AGREE TO HOLD TWOLF HARMLESS FROM ANY CLAIMS ARISING FROM SUCH INTERACTIONS.

11. Indemnification

You agree to defend, indemnify, and hold harmless Twolf, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including privacy or intellectual property rights
  • Your violation of any law, rule, or regulation
  • Any claim that your content caused damage to a third party
  • Your interactions with other users

This indemnification obligation will survive the termination of these Terms and your use of the Service.

12. Dispute Resolution

12.1 Informal Resolution

Most disputes can be resolved informally. Before filing a claim, you agree to try to resolve the dispute by contacting us at legal@diveri.app. We'll try to resolve the dispute informally by contacting you via email.

12.2 Arbitration Agreement

If we can't resolve the dispute informally, you and Diveri agree to resolve any claims through final and binding arbitration, except as set forth below. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules. The arbitration will be held in the United States, or any other location we mutually agree upon.

12.3 Exception to Arbitration Agreement

Either party may assert claims, if they qualify, in small claims court. Either party may also seek equitable relief in court for infringement or other misuse of intellectual property rights.

12.4 No Class Actions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

13. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to the Terms will be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

You agree that any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the competent courts of the Netherlands, and you hereby consent to the personal jurisdiction and venue of such courts.

You waive any objection to jurisdiction and venue in such courts on the grounds of improper venue, forum non conveniens, or any similar grounds.

14. Additional Important Terms

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Diveri regarding the use of the Service and supersede any prior agreements.

14.2 Waiver and Severability

Our failure to enforce any provision of these Terms is not a waiver of that provision. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be in full force and effect.

14.3 Assignment

You may not assign or transfer these Terms or your rights under these Terms to anyone. We may assign our rights to any of our affiliates or subsidiaries, or to any successor in interest of any business associated with the Service.

14.4 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which results from any cause or circumstance beyond our reasonable control.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Twolf is a company registered in the Netherlands. We do not provide a physical address for privacy and security reasons. All legal correspondence should be directed to our legal email address.
